As one of the founding members of IWJ Law and having previously been an associate and partner at leading law firms in Vancouver, David has three decades of experience in providing a combination of legal and business advice to a largely entrepreneurial clientele. David specializes in corporate, tax and securities law with several private companies, publicly-traded entities and institutional venture capitalists. For many businesses he has taken the role of external general counsel and advised extensively on corporate governance issues. In addition to a specialized role in merger and acquisition transactions, he has acted as counsel for special committees and independent review committees for a variety of complex and often tax-driven transactions and proxy contests. David has served since the mid 1990’s as a director for numerous public and private companies.
David obtained his J.D. (University of Toronto) in 1988 and was called to the British Columbia Bar in 1989. In 2016 David was awarded a Doctor of Divinity (honoris causa) from Vancouver School of Theology.
David has written articles, co-edited a national corporate governance publication, and co-edits the award winning binder series Doing Business in British Columbia. David has lectured frequently for the Canadian Venture Capital Association, the B.C. Continuing Legal Education Society, the Canadian Bar Association and the Law Society Professional Legal Training Course regarding corporate, securities and venture capital financing law. David is a past Chairperson for the Securities Subsection of the Canadian Bar Association (British Columbia Branch), was a member of the Securities Law Advisory Committee of the British Columbia Securities Commission and a member of an advisory board for a Canadian stock exchange.
Over the past three decades David has served as a director and officer for numerous private and public Canadian and US companies in the technology, health sciences, oil and gas, mining and real estate sectors. During that same time period David has also served in numerous charitable capacities, including as director and chair of university boards, foundations, think tanks, national and international charities, Canadian and US arts organizations, and national denominational entities.
